Terms and Conditions

These Terms govern your access to and use of Prescosoft and the free Prescosoft Tools. By using any Prescosoft Tool, you agree that use is entirely at your own risk and that Prescosoft does not accept responsibility for your inputs, outputs, decisions, files, data, devices, results, losses, or consequences.

Important: Prescosoft Tools are provided for general convenience only. They are free to use, require no account, and are designed so that supported processing occurs locally in your browser.

1. Acceptance of These Terms

These Terms and Conditions (“Terms”) govern your access to and use of Prescosoft, prescosoft.com, and any websites, pages, utilities, applications, features, files, scripts, or tools offered under the Prescosoft name or brand (collectively, the “Prescosoft Tools,” “Tools,” “Site,” “we,” “us,” or “our”).

By accessing or using any Prescosoft Tool, you agree to be bound by these Terms. If you do not agree, you must not access or use the Tools. These Terms apply to all users, visitors, and anyone who accesses or uses the Tools.

2. Description of the Prescosoft Tools

Prescosoft provides free browser-based utilities intended for general productivity, formatting, conversion, organization, design, content, development, or similar convenience purposes. The Tools are offered without user accounts, without subscriptions, and without any guarantee that they will meet your needs or produce any specific result.

Prescosoft may add, change, suspend, remove, limit, or discontinue any Tool or feature at any time, with or without notice. We have no obligation to maintain, support, update, store, recover, or continue providing any Tool.

3. Local Processing and No Intentional Transmission to Prescosoft

Prescosoft Tools are designed so that supported inputs, files, text, images, data, and generated outputs are processed locally in your browser whenever the Tool indicates or functions that way. The Tools do not require user accounts, and Prescosoft does not intentionally collect, receive, upload, transmit, store, review, monitor, or recover your files, text, images, tool inputs, or tool outputs.

Because processing occurs on your device for supported Tools, you are responsible for saving, downloading, backing up, securing, deleting, and managing your own content. If you close the browser, clear storage, lose power, use a private browsing session, switch devices, experience a browser error, or otherwise lose access to your content or output, Prescosoft is not responsible.

Standard website infrastructure, browsers, hosting providers, analytics-blocking behavior, security systems, CDNs, or network technologies may process routine technical information necessary to deliver the Site, such as IP address, browser type, device information, request logs, referrer, timestamps, or similar technical data. These Terms do not guarantee that the internet, your device, your browser, or third-party infrastructure is private, secure, error-free, or immune from interception.

4. Your Sole Responsibility for Use and Results

You agree that your use of the Prescosoft Tools is entirely at your own risk. You are solely responsible for all inputs, outputs, decisions, actions, files, data, results, and consequences arising from your use of the Tools.

You are solely responsible for reviewing, verifying, testing, validating, and determining whether any Tool, output, file, conversion, formatting change, generated result, code, content, recommendation, organization, calculation, transformation, or other result is accurate, complete, safe, lawful, suitable, and appropriate for your intended purpose before relying on it or using it.

Prescosoft is not responsible for errors, omissions, corrupted files, inaccurate outputs, formatting issues, data loss, metadata loss, security decisions, compatibility issues, accessibility issues, SEO outcomes, business outcomes, personal outcomes, professional outcomes, legal outcomes, financial outcomes, technical outcomes, or any other consequence of using or being unable to use the Tools.

5. Prohibited Uses

You agree not to use the Tools:

  • For any unlawful, harmful, fraudulent, deceptive, abusive, infringing, or malicious purpose.
  • To violate any applicable law, regulation, contractual obligation, intellectual-property right, privacy right, publicity right, or third-party right.
  • To create, process, distribute, or enable malware, phishing, spam, exploitation, unauthorized access, surveillance, harassment, or harmful activity.
  • To process content that you do not have the legal right or permission to use.
  • To rely on the Tools for emergencies, safety-critical systems, regulated decisions, professional advice, or high-risk use cases.
  • To interfere with, overload, reverse engineer, attack, scrape, copy, or attempt to compromise the Site, Tools, or related infrastructure.

6. No Professional Advice

The Tools and any related content are provided for general informational and convenience purposes only. They do not provide legal, financial, medical, tax, accounting, compliance, engineering, security, professional, or other regulated advice. You should consult a qualified professional before making decisions that may affect your rights, obligations, finances, health, safety, business, legal compliance, or other important interests.

7. Disclaimer of Warranties

To the fullest extent permitted by law, the Prescosoft Tools are provided on an “as is,” “as available,” and “with all faults” basis, without warranties of any kind, whether express, implied, statutory, or otherwise.

Prescosoft and any individual, owner, founder, contributor, developer, contractor, affiliate, representative, service provider, or person associated with Prescosoft expressly disclaim all warranties, including but not limited to warranties of accuracy, completeness, reliability, availability, uptime, uninterrupted operation, error-free operation, security, privacy, merchantability, fitness for a particular purpose, title, non-infringement, compatibility, accessibility, and any warranties arising from course of dealing, course of performance, or usage of trade.

Prescosoft does not warrant that the Tools will be accurate, complete, secure, reliable, uninterrupted, timely, available, free of defects, free of harmful components, compatible with your device or browser, or suitable for any particular use.

8. Limitation of Liability

To the fullest extent permitted by law, Prescosoft and any individual or entity related to Prescosoft will not be liable for any damages, losses, claims, costs, expenses, or consequences arising from or related to your use of, reliance on, or inability to use the Tools.

This limitation applies to all types of damages and claims, whether direct, indirect, incidental, consequential, special, exemplary, punitive, statutory, economic, non-economic, or otherwise, including but not limited to lost profits, lost revenue, lost savings, lost data, corrupted files, business interruption, reputational harm, device issues, security incidents, privacy incidents, inaccurate results, reliance damages, replacement costs, legal exposure, or third-party claims.

This limitation applies regardless of the legal theory asserted, including contract, tort, negligence, strict liability, warranty, statute, equity, or any other theory, even if Prescosoft or any related person has been advised of the possibility of such damages and even if a remedy fails of its essential purpose.

If, despite these Terms, liability is imposed on Prescosoft or any related person or entity, the total aggregate liability for all claims will not exceed the greater of: (a) the amount you paid directly to Prescosoft for the specific Tool giving rise to the claim during the three months before the claim arose, or (b) ten U.S. dollars (US $10.00). Because the Tools are currently free, this limitation is a material condition of providing them.

Some jurisdictions do not allow certain limitations or exclusions of liability. In those jurisdictions, liability is limited to the maximum extent permitted by applicable law.

9. Indemnification

You agree to defend, indemnify, and hold harmless Prescosoft and any individual, owner, founder, contributor, developer, contractor, affiliate, representative, service provider, or person associated with Prescosoft from and against any claims, demands, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to: (a) your access to or use of the Tools; (b) your inputs, files, data, content, outputs, or results; (c) your violation of these Terms; (d) your violation of any law or third-party right; or (e) your misuse of the Tools.

10. Intellectual Property and Your Content

Prescosoft, the Prescosoft name, the Site design, text, interface elements, code, branding, graphics, and other materials are owned by Prescosoft or its licensors and are protected by applicable intellectual-property laws. You may not copy, reproduce, distribute, modify, create derivative works from, publicly display, or exploit Prescosoft materials except as permitted by law or with written permission.

As between you and Prescosoft, you retain whatever rights you have in the content, files, text, images, data, or other materials you use with the Tools. Prescosoft does not claim ownership of your content merely because you use a Tool.

11. Third-Party Services, Browsers, and Devices

Your use of the Tools may depend on third-party browsers, operating systems, devices, hosting services, CDNs, libraries, fonts, scripts, internet service providers, or other technologies that Prescosoft does not control. Prescosoft is not responsible for third-party acts, omissions, outages, vulnerabilities, compatibility issues, policy changes, data practices, or failures.

The Site may contain links to third-party websites or resources. Such links are provided for convenience only. Prescosoft does not endorse and is not responsible for third-party content, products, services, policies, or practices.

12. Changes to These Terms

Prescosoft may update these Terms from time to time. The updated version will be indicated by a revised effective date. Your continued use of the Tools after changes are posted means you accept the updated Terms. If you do not agree to the updated Terms, you must stop using the Tools.

13. Governing Law and Severability

These Terms are governed by the laws of the Commonwealth of Pennsylvania, United States, without regard to conflict-of-law principles, unless applicable law requires otherwise. Any dispute arising from or relating to these Terms or the Tools shall be handled in a court of competent jurisdiction, subject to any rights you may have under applicable law.

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect, and the unenforceable provision will be interpreted or modified to accomplish its intended purpose to the maximum extent permitted by law.
